IMPORTANT NOTICE: THESE TERMS OF SERVICE ("TERMS") GOVERN YOUR USE OF THE SERVICES PROVIDED BY CREATOR COMPLETE ("COMPANY," "WE," "US," "OUR"). BY SIGNING UP FOR, PAYING FOR, OR USING OUR SERVICES, YOU ("CLIENT," "YOU," "YOUR") ARE AGREEING TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. PLEASE READ THEM CAREFULLY.

This document constitutes a legally binding agreement. We strongly recommend you consult with a qualified legal professional to review these Terms before agreeing to them.

1. Definitions

• "Service(s)": Refers to all products and packages offered by Creator Complete, including but not limited to AI-powered media production, content ideation, ad copywriting, social media account management, posting, scheduling, analytics, and YouTube thumbnail creation (two thumbnails per YouTube video) as described in Your selected package.
• "Client Content": All materials provided by You to Us, including but not limited to photographs, videos, logos, branding guidelines, trademarks, written materials, and responses to our questionnaires (e.g., FAQs).
• "Generated Content": All materials created by Creator Complete as part of the Services, including but not limited to videos, static images, ad copy (titles, captions, hashtags, descriptions), thumbnails, storyboards, and scripts, which are delivered to You.
• "Platform(s)": Third-party social media websites and applications (e.g., Instagram, TikTok, Facebook, LinkedIn, X) on which Generated Content is posted.

2. Services & Client Responsibilities

2.1. Service Delivery: We will provide the Services corresponding to the package You have selected and paid for, in a professional and timely manner. Our operations rely on an AI-driven workflow that requires Your participation.

2.2. Client Cooperation: You agree to cooperate fully with Us and to provide, in a timely manner, all Client Content and information reasonably required for the provision of the Services. This includes providing access credentials for Platforms, brand assets, and a list of Frequently Asked Questions (FAQs) for audience engagement. Delays on Your part may result in delays in Service delivery, for which We are not responsible.

2.3. Content Approval Workflow:

• We will present content ideas and/or final Generated Content, including YouTube thumbnails, to You for review via your client portal.
• It is Your sole responsibility to review and approve all Generated Content before it is published on any Platform.
• Upon Your approval, We will proceed with scheduling and posting. If we do not receive feedback or a request for revision within a reasonable, specified timeframe (e.g., 48 hours), We may, at our discretion, deem the content approved to maintain your posting schedule.
• You are ultimately and solely responsible for the factual accuracy, legal compliance, and appropriateness of all Generated Content posted on Your accounts.

2.4. Client Conduct:

We reserve the right to suspend or terminate Services for any client who, in our sole discretion, behaves in a manner that is rude, abusive, harassing, or otherwise inappropriate towards our staff or representatives. Such termination may occur with or without notice at our discretion.

3. Packages and Pricing

We offer a variety of packages tailored to your needs. All packages now include the creation of two thumbnails per YouTube video, as applicable.

Free Demo:

We offer a DEMO, not a free trial. When you request a DEMO, you will receive a watermarked DEMO video and a watermarked static image for review purposes only. The DEMO is for evaluation and cannot be used or published.

• Daily Content Idea: You receive one "Idea Pack" every day.
• Shot List: A step-by-step guide on how to film the video.
• Storyboard Images: AI-generated images to show you what the key shots should look like.
• Thumbnail Idea: A concept for a compelling video thumbnail.
• Complete Ad Copy: You get all the text needed to post the video, including titles, captions, hashtags, and descriptions.

This is our all-in-one solution to get your brand growing online. Each week, we create and deliver 2 short videos and 10 static image ads for you. The service includes full social media management, where we post this content to 4 of your social platforms, write all the copy, engage with your audience, and provide analytics. We'll even write copy for and schedule up to 5 of your own posts.

• Video Production: We create 2 short videos for you every week.
• Image Production: We create 10 static image ads for you every week.
• Social Media Posting: We post the content we create to up to 4 of your social media platforms.
• User Content Posting: We will also write copy for and schedule up to 5 of your own posts per week.
• Full Social Media Management: Includes content creation, posting, scheduling, audience engagement, and analytics reporting.
• A/B Test Ad Copy: Every video and image comes with 2 different titles, captions, SEO descriptions, thumbnails and sets of hashtags.
• Core Services: Includes AI avatar creation, deep niche research, content ideation, and full video scripting and editing.

This package is designed to increase your content output and market presence. You get 3 short videos and 15 static image ads created for you every week. Our full social media management service is included, with posting to 5 platforms and handling all audience engagement. We will also write copy for and schedule up to 10 of your own personal posts weekly.

• Image Production: We create 40 static image ads for you every week.
• AI-Generated UGC: Your short videos can also be user-generated content (UGC) style, featuring AI-generated people talking about your product, service, or brand.
• Social Media Posting: We post the content we create to up to 5 of your social media platforms.
• User Content Posting: We will also write copy for and schedule up to 10 of your own posts per week.

• One-Time Payment: A single $99.99 payment with no recurring commitment.
• Long-Form Video: You receive one video that can be up to 3 minutes long.
• Complex Production: Your video will be crafted from up to 20 different shots and assets.
• Collaborative Process: We help you develop the idea, choose your shots, and provide storyboard options for your approval.
• Full Service: Once you approve the concept, we produce the entire video for you.
• Fast Turnaround: We will produce and deliver your complete video within 72 hours of receiving your final storyboard approval.

4. Payment, Billing, and Cancellation

4.1. Weekly Billing Cycle:

All Services are provided on a recurring, prepaid weekly subscription basis unless otherwise specified. Your payment method on file will be charged automatically at the beginning of each weekly billing period.

4.2. No Refund Policy:

All payments are final and non-refundable after content production has begun for that week (for weekly subscriptions) or for that month (for monthly subscriptions). If you request a refund before content production has begun for your current billing period, you may be eligible for a refund at our sole discretion. Once content production for your billing period (week or month, depending on your plan) has started, no refunds or pro-rated credits will be issued under any circumstances.

4.3. Cancellation Policy:

You may cancel Your subscription at any time through Your client portal or by providing written notice to Us.

• Upon cancellation, You will not be charged for the subsequent weekly or monthly billing cycle.
• Your Services will continue to be provided in full until the end of the current, paid-for billing period.
• No refunds or pro-rated credits will be issued for the remainder of the current billing period after production has begun.

4.4. Non-Payment:

If Your payment method fails or a charge is disputed, we will notify You to update your payment information. If payment is not successfully processed within three (3) business days, We reserve the right to suspend all Services, including content creation and posting. Services will cease entirely at the end of the last fully paid billing cycle.

4.5. Price Changes:

We reserve the right to modify our package pricing at any time. We will provide you with at least thirty (30) days' advance notice of any price changes. Your continued use of the Service after the price change constitutes your agreement to pay the modified amount.

5. Intellectual Property Rights

5.1. Client Content:

You retain all ownership rights to Your Client Content. You hereby grant Creator Complete a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display the Client Content solely for the purpose of providing the Services to You. You warrant that You own or have secured all necessary rights, licenses, and permissions for Us to use the Client Content as described herein.

5.2. Generated Content:

Upon Your full payment for the applicable Service period, and subject to Your compliance with these Terms, We hereby assign to You all right, title, and interest in and to the final, approved versions of the Generated Content created specifically for You, including videos, static images, ad copy, scripts, storyboards, and YouTube thumbnails. You are free to use this Generated Content for Your business purposes indefinitely.

5.3. Creator Complete IP:

You acknowledge that We retain full ownership of all our proprietary technology, software, AI models, workflows, processes, and any materials not defined as final, approved Generated Content.

6. Content Liability and Prohibitions

6.1. Client Responsibility:

You are solely responsible for all content posted to Your accounts. You agree that Your use of the Services and all Client Content and Generated Content will comply with all applicable laws and regulations, including but not limited to those concerning copyright, trademark, privacy, data protection, and advertising.

6.2. Prohibited Content:

You may not use our Services to create, post, or promote content that is:

• Illegal, fraudulent, or deceptive.
• Defamatory, libelous, threatening, or harassing.
• Hateful, discriminatory, or inciting violence.
• Infringing on the intellectual property or privacy rights of any third party.
• Obscene or pornographic.
• Containing viruses, malware, or other harmful code. We reserve the right to refuse to create or post any content that we, in our sole discretion, deem to be in violation of these terms or inappropriate for any reason.

7. Disclaimers and Limitation of Liability

7.1. No Guarantee of Results:

You acknowledge that Creator Complete cannot and does not guarantee any specific results from the use of our Services. We do not promise or guarantee any increase in followers, likes, engagement, traffic, or sales. We provide a service of creation and management, not a guaranteed outcome.

7.2. Platform Compliance:

We will make commercially reasonable efforts to comply with the Terms of Service of all applicable Platforms. However, you acknowledge that these Platforms may change their rules or algorithms at any time. We are not liable for any account suspension, content removal, or other adverse action taken by a Platform against You, unless such action is the direct result of our gross negligence or willful misconduct.

7.3. "AS IS" Service:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.4. Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CREATOR COMPLETE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Creator Complete and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• (i) Your use of and access to the Service;
• (ii) Your violation of any term of these Terms;
• (iii) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
• (iv) Any claim that Your Client Content or the final approved Generated Content caused damage to a third party.

9. Term and Termination

9.1. Term:

This Agreement shall commence upon your signing up for the Service and shall continue on a week-to-week or month-to-month basis, as applicable, until terminated by either party.

9.2. Termination by Company:

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or if you engage in rude, abusive, or inappropriate conduct toward our staff or representatives.

10. General Provisions

10.1. Governing Law & Dispute Resolution:

These Terms shall be governed by the laws of the State of [Insert State, e.g., Texas], without regard to its conflict of law provisions. Any dispute arising from these Terms shall ideally be resolved through good-faith negotiation, followed by binding arbitration in [Insert City, e.g., Dallas, Texas].

10.2. Entire Agreement:

These Terms constitute the entire agreement between you and Creator Complete concerning the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

10.3. Modification of Terms:

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 15 days' notice prior to any new terms taking effect.
